BY ACCEPTING THESE TERMS THROUGH USING THE WEBSITE "I AGREE," YOU CONFIRM THAT YOU HAVE READ AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT ACCEPT THESE TERMS, DO NOT CREATE AN ACCOUNT OR ACCESS THE SERVICE. YOUR AUTHORIZATION EXTENDS TO ANY PERSON WHO INDICATES ACCEPTANCE OF THESE TERMS ON YOUR BEHALF. IMPORTANT ARBITRATION NOTICE: BY AGREEING TO THESE TERMS, YOU ACCEPT THAT DISPUTES BETWEEN YOU AND US, THE MEDICAL GROUPS, OR PROVIDERS WILL BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION. THIS MEANS YOU WAIVE YOUR RIGHTS TO JURY TRIAL AND CLASS ACTION PARTICIPATION.

EXCEPTIONS AND OPT-OUT PROCEDURES ARE DETAILED BELOW.

Service Overview

UpHealth and its subsidiaries (collectively referred to as "UpHealth," "we," or "us") operate www.uphealth.com and the UpHealth mobile application (together, the "Platform"). Your use of the Platform, its contents ("Content"), associated services, and any affiliated websites, software, or applications (collectively, the "Service") is governed by these Terms and Conditions ("Agreement").

Terms Acceptance

Using the Service indicates your acceptance of this Agreement and applicable laws and regulations. Access to the Service is prohibited without full acceptance of these terms, except for reviewing this Agreement.

Our Role and Relationship

UpHealth facilitates connections between registered users ("Users") and healthcare services through:

Products and services offered directly by UpHealth

Services provided by third-party medical providers, pharmacies, and vendors

Access to medical groups ("Medical Groups") employing healthcare professionals ("Providers")

Important Notice: UpHealth is not a healthcare provider. Using our Service does not create a doctor-patient relationship with UpHealth. However, you may establish a doctor-patient relationship with the Medical Groups and/or Providers through the Service.
